NNPC Sets No Fixed Date for Proposed IPO as Shareholders Await Readiness
NNPC continues preparations for a proposed IPO
The Nigerian National Petroleum Company Limited (NNPC Ltd.) has confirmed that there is no fixed date for its proposed Initial Public Offering (IPO), as the company continues preparations and consultants assess its readiness for a potential listing.
NNPC Group Chief Executive Officer Bayo Ojulari disclosed this on Tuesday in Abuja at a press conference following the company's Annual General Meeting and presentation of its 2025 audited financial statements.

Ojulari said NNPC's management is working towards ensuring the company is ready for a potential IPO but does not have the authority to independently determine when the offering will take place.
NNPC IPO Date Yet to Be Determined
According to Ojulari, the company has not established a specific date for the proposed offering because consultants and other relevant parties are still evaluating its overall preparedness.
He said management is working to ensure that NNPC can proceed when the necessary conditions are met, but the eventual decision to launch the IPO rests with the company's shareholders.
The company is expected to communicate a timeline after the relevant assessments have been completed and the necessary advice has been received.
This means the previously discussed possibility of an NNPC listing remains a preparation process rather than a scheduled market transaction.
Market Conditions Will Influence Timing
Ojulari said the timing of the proposed IPO would depend on the outcome of the readiness assessment, prevailing market conditions and other strategic considerations.
For a company of NNPC's scale, an IPO would require extensive preparation around corporate governance, financial reporting, investor disclosure, valuation, regulatory compliance and market positioning.
The GCEO said NNPC's management and board must ensure that the necessary requirements and supporting evidence are in place before the company proceeds with a listing.
He also identified transparency, clear accountability and sustainable performance as important requirements for the company's preparation.
Shareholders Retain Final Decision
While management is responsible for preparing NNPC for a potential public offering, Ojulari stressed that the final decision does not rest solely with the company's executive management.
The shareholders will ultimately determine whether the IPO proceeds, meaning the company's preparations and any future timetable remain subject to the relevant shareholder decision-making process.
This distinction is important because preparation for an IPO does not necessarily mean that a company has committed to a specific launch date.
NNPC IPO Has Been in Preparation for Several Years
NNPC's proposed IPO has been under development for several years as part of the company's broader transition towards operating as a commercially focused energy company.
In March 2025, NNPC was reported to have been at an advanced stage of IPO preparations and had commenced an "IPO Beauty Parade" to identify advisers for investor relations, IPO readiness and investment banking support. The process was linked to the framework established under the Petroleum Industry Act (PIA) 2021.
In July 2025, Ojulari said the company had a roadmap targeting a stock market listing by 2028. That earlier roadmap, however, does not constitute a current fixed IPO date, with the latest statement indicating that the company is still assessing readiness.
Potential Significance for Nigeria's Capital Market
A future NNPC IPO would have implications for Nigeria's capital market because it could create an opportunity for investors to acquire an ownership interest in one of the country's largest energy companies.
The timing and structure of any eventual offering would determine how the transaction affects the Nigerian Exchange, institutional investors and the wider investment market.
For investors, however, the latest announcement means there is currently no confirmed timetable to trade NNPC shares through a public offering.
Implications for Investment and Property Markets
Although the proposed IPO is primarily an energy and capital-market development, a successful listing could have wider implications for investment flows across the Nigerian economy.
Greater participation by domestic and international investors in large Nigerian companies could potentially broaden the pool of capital available to productive sectors. For the property market, the relevance would depend on how additional investment capital is ultimately allocated across infrastructure, industrial development, commercial assets and other sectors.
However, there is currently no indication from NNPC that its proposed IPO will be specifically directed towards housing or real estate investment. The immediate focus remains the company's readiness for a potential capital-market listing.
Outlook
NNPC's proposed IPO remains under preparation, but the company has yet to establish a fixed date for the offering.
The next stage will depend on the outcome of readiness assessments by consultants and other advisers, the company's ability to meet the required standards, prevailing market conditions and the eventual decision of its shareholders.
Until those processes are completed, the proposed NNPC IPO remains a planned transaction rather than a scheduled listing.
