Dangote Refinery IPO to Open Within 12 Days as $5bn Fundraising Plan Advances

Dangote Refinery moves towards IPO

The initial public offering of the Dangote Refinery is expected to open within the next 10 to 12 days, according to Aliko Dangote, as the company moves closer to raising capital from public-market investors.

Dangote disclosed the timeline while speaking to investors and analysts in Botswana on Thursday. The planned offering is expected to target about $5 billion, which could make it the largest IPO in Africa if the full amount is raised.

The IPO comes as the refinery prepares for another major expansion, with Dangote saying the company wants to increase processing capacity from its current 650,000 barrels per day to 1.4 million barrels per day.

IPO to Support Refinery Expansion

Dangote said the company's objective is to use the capital raised from the public offering to support the next phase of the refinery's growth.

The refinery reached its full nameplate capacity of 650,000 barrels per day in February 2026 and has subsequently tested production at about 700,000 barrels per day. The planned expansion would more than double its original processing capacity.

The scale of the proposed fundraising places the IPO among the most significant capital-market transactions currently being pursued in Africa.

Refinery Already Secured $2.5bn Private Placement

The proposed public offering follows a $2.5 billion private placement secured by the refinery several months ago.

The private capital strengthened the refinery's balance sheet as it moved towards the IPO and its expansion programme, according to Nairametrics.

The combination of private and public-market funding highlights the scale of capital required to expand one of Africa's largest industrial assets.

Refinery Targets 1.4 Million Barrels Per Day

The planned expansion would take the refinery's capacity to 1.4 million barrels per day.

Dangote said increasing capacity remains a key objective for the group as it seeks to position the facility as a major supplier of refined petroleum products to Nigeria, other African markets and international customers.

The expansion could also increase the scale of associated infrastructure requirements around the refinery, including logistics, storage, transportation and supporting industrial facilities.

Potential Impact on Nigeria’s Capital Market

A successful $5 billion IPO would represent a significant development for Nigeria's capital market.

The offering would broaden public ownership of one of the country's largest industrial assets and could increase the depth and liquidity of the Nigerian Exchange.

It could also demonstrate the capacity of Nigeria's capital market to accommodate large-scale infrastructure and industrial companies seeking long-term funding.

However, the final size and structure of the offer remain subject to the formal offering process and applicable regulatory requirements. Earlier reporting indicated that the refinery had submitted an IPO application to Nigeria's Securities and Exchange Commission, while the final offer terms were still being determined.

Implications for Industrial Investment

Beyond the capital market, the IPO has implications for Nigeria's broader industrial investment environment.

Large-scale industrial projects require substantial funding for construction, equipment, expansion and supporting infrastructure. Greater access to domestic capital markets could provide Nigerian companies with an additional source of long-term financing rather than relying entirely on bank lending or foreign capital.

For the property and construction sectors, major industrial expansion can also create demand for warehouses, logistics facilities, worker accommodation, commercial services and other supporting developments around industrial corridors.

Dangote Cement London Listing Also Planned

The refinery IPO is taking place alongside another planned capital-market transaction within the Dangote Group.

Dangote said the secondary listing of Dangote Cement on the London Stock Exchange is expected to take place in October. The listing is intended to increase the cement company's access to international investors and global capital markets.

Dangote Cement is already listed on the Nigerian Exchange, making the planned London listing part of the group's wider strategy to broaden its international investor base.

Wider African Expansion

Dangote also disclosed plans to develop a new refinery in Kenya in partnership with East African governments.

The project is expected to take about three years to complete and would supply refined petroleum products to Kenya and neighbouring countries. A groundbreaking ceremony is planned for September 30.

The Kenyan project would represent the Dangote Group's largest refining investment outside Nigeria and further expand the group's industrial footprint across Africa.

Outlook

The Dangote Refinery IPO is moving towards the market at a significant point in the company's development, with the facility already operating at its original 650,000-barrel-per-day capacity and preparing for a potential expansion to 1.4 million barrels per day.

If the offering proceeds as outlined, the proposed $5 billion fundraising would represent a major transaction for Nigeria's capital market and provide the refinery with additional capital for expansion.

For Nigeria's wider investment and property markets, the more important long-term consideration will be whether the refinery's expansion generates sustained demand for industrial infrastructure, logistics facilities and supporting commercial development around the Lekki industrial corridor.
